Terms & Conditions of Sale
Helium Lyte manufactures its LED luminaires to precise standards. We warrant that our products will be free from defects in workmanship and materials. Helium Lyte reserves the right to amend this warranty at any time. As technology evolves, replacement products may exhibit different lighting characteristics from the original. This warranty applies exclusively to the original purchaser.
All LED luminaires are covered by a five (5) year warranty against material and workmanship defects that result in luminaire failure, provided the following conditions are met:
The product must have been purchased directly from Helium Lyte or through an authorized representative.
The luminaire must be installed and operated within the parameters outlined in the specification and installation guide for that product.
This warranty will be void if the product is modified, installed improperly, or used in unsuitable environmental conditions.
This coverage applies only to the materials supplied. Helium Lyte is not responsible for any labor or associated costs resulting from warranty claims. Labor or equipment expenses related to the removal, replacement, or installation of any fixture or component are not covered.
Depending on the specific claim, Helium Lyte may provide replacement parts or fixtures. If the original product is no longer available, a comparable alternative may be offered at Helium Lyte’s discretion. The decision to supply parts or full fixtures rests solely with Helium Lyte.
LED drivers are covered under their original manufacturer’s warranty.
All warranty claims must be pre-approved by Helium Lyte. No charges for repairs, labor, or associated expenses will be accepted without prior written authorization. When applicable, Helium Lyte reserves the right to perform warranty service directly.
Payment Terms
All sales are subject to credit approval. A 50% deposit is required to initiate production. The remaining 50% is due NET 30 from the date of delivery. Late payments are subject to a 2% monthly service fee. Order production and shipping are contingent upon material availability and approved shop drawings. Warranty coverage is valid only if the account is paid in full.
Quotations
Quoted prices are valid for 30 days from the date of issuance. Prices are project-specific and based on quantities, terms, and location. Modifications to the project scope or details may require re-quotation.
Pricing
All pricing is subject to change without notice. Orders delayed or placed on hold for more than six (6) months from the date of quotation must be re-quoted. Pricing is valid only when provided directly by Helium Lyte.
Order Acknowledgement & Acceptance
Orders accepted by Helium Lyte will be confirmed in writing via an official order acknowledgment upon approval.
Minimum Order Requirement
Helium Lyte requires a minimum order value of $500. Orders below this threshold will not be processed. This minimum applies to the total value of products excluding taxes, freight, or additional service fees.
Cancellations
Orders with client-approved shop drawings are considered confirmed and may not be canceled without incurring cancellation fees based on work completed and materials procured. Orders involving custom components may be subject to additional cancellation charges.
Shipping Dates
Helium Lyte aims to meet estimated shipping dates; however, shipment timelines are not guaranteed. Helium Lyte is not responsible for penalties, back charges, or cancellations due to shipping delays.
Returns – RGA & Restocking Fees
All returns require a Returned Goods Authorization (RGA) issued by Helium Lyte. Unauthorized returns will not be accepted. Returned items must be in original factory packaging. The customer is responsible for all return freight charges. Returned goods are subject to a minimum restocking fee of 50%, with a minimum charge of $300.00.
Freight Terms
All shipments are F.O.B. from the Helium Lyte facility. Freight is prepaid on shipments valued at $5,000.00 or more. Prepaid freight applies only within the continental United States and Canada. Shipments to Alaska, Hawaii, Yukon, Nunavut, or the Northwest Territories are excluded and may be subject to additional charges. Additional charges apply for partial, express, or dedicated shipments.
Claims
All shipping damages must be reported to the freight carrier and Helium Lyte upon receipt of goods. Ownership transfers to the purchaser upon pick-up in Montreal, Quebec. Claims for damage in transit or short shipments must be made directly to the carrier. Any issues related to missing components or product quality must be reported to Helium Lyte within 15 days of delivery.
Product Design
All product designs are the intellectual property of Helium Lyte and are subject to modification without prior notice.
